BEE LAW AND SECTORAL CHARTERS

MHA advices clients on various laws aimed at achieving BEE objectives. MHA has experience in employment equity and skills development matters, the DTI Codes of Good Practice, various sectoral charters on BEE, and on structuring BEE deals to ensure compliance with BEE laws. MHA also provides advice on tax related aspects of certain BEE deals including broad based share incentive schemes.

COMPANY AND SECRETARIAL WORK

MHA assists clients in company secretarial work for  companies, close corporations and trusts. As instructed MHA changes shelf company details, amends memorandum and articles of association, varies share capital, issues and transfers shares, registers name reservations and changes, and attends to preparation and lodgement (including electronic lodgement) of various CM/CK forms with CIPRO.

COMPETITION LAW

MHA has experience in competition law and advises on anti-competitive aspects of practices, arrangements and/or draft joint venture agreements from a vertical, horizontal and market dominance point of view. MHA lodges applications for exemptions in respect of anti-competitive practices and agreements and advises clients on competition aspects of mergers.

CORPORATE GOVERNANCE

MHA provides advice to clients on corporate governance issues including, compliance, the Companies Act and King II. MHA advises on the structure and composition of boards of directors, business licence terms and conditions, good corporate governance principles, and codes of conduct and  ethics.

CORPORATE LAW

ELECTRONIC COMMUNICATIONS

MHA has particular expertise in electronic communication regulatory matters relating to the licensing and regulation of broadcasting, telecommunications, and other forms of electronic communications. This includes: drafting legislative amendments, regulations, licence applications, contracts, opinions and pleadings, reviewing applications for licences and licence amendments, and preparing written representations for clients including government authorities.

EMPLOYMENT AND LABOUR

MHA advises on labour disputes, industrial action, retrenchment processes, dismissals, unfair labour practices, section 197 transfers of employees, and general industrial relations issues in both the private and public sectors.

MHA drafts contracts of employment and disciplinary and grievance procedures. MHA chairs disciplinary enquiries for clients. MHA produces a monthly Employment Update which discusses a recently reported case.

MHA represents clients in the CCMA and Labour Court.

MINING AND ENERGY LAW

MHA advises clients on applications for prospecting rights and for conversions of old order rights, lodgement of notarised prospecting permits for registration with the Mining Titles Office and formation of joint ventures for mining projects.
MHA drafts relevant agreements and advises on compliance with applicable mining legislation.
MHA also provides legal advice on energy related matters, mainly in the area of laws regulating the distribution of electricity.
MHA advised a number of municipalities on the restructuring of their electricity distribution departments, the formation of municipal entities, and also participated in the process of establishing the Regional Electricity Distributor One.
